These Terms govern your use of the PowerAPI Whatsapp platform, website, dashboard and APIs (the "Platform"), operated by NXTKRAFT SOLUTIONS (OPC) PRIVATE LIMITED ("we", "us", "our"). By creating an account or calling our APIs, you agree to be bound by these Terms, our Privacy Policy and our Refund & Cancellation Policy.

1. Eligibility

You must be a registered business or an authorised individual at least 18 years of age. You are responsible for the accuracy of the information you provide when you register and for keeping it up to date.

2. The service

PowerAPI Whatsapp lets you link WhatsApp numbers that you own or are authorised to use, and send and receive messages through our dashboard and REST API, including bulk campaigns, auto-replies, webhooks and related tools. The Platform connects to WhatsApp in the same way as WhatsApp Web.

PowerAPI Whatsapp is an independent service and is not affiliated with, endorsed, sponsored or approved by WhatsApp LLC or Meta Platforms, Inc. WhatsApp is a trademark of WhatsApp LLC. It is not the official WhatsApp Business Platform (Cloud API).

3. Accounts and security

  • You are responsible for keeping your password, API keys and webhook secrets confidential, and for all activity under your account.
  • You must notify us promptly at [email protected] if you suspect unauthorised access.
  • Only link WhatsApp numbers that you own or are authorised to operate.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

4. Acceptable use

You agree not to use the Platform to:

  • send spam, unsolicited bulk or marketing messages to people who have not given you their consent to be contacted;
  • send content that is unlawful, fraudulent, deceptive, harassing, defamatory, obscene, hateful, or that infringes anyone's intellectual property or privacy;
  • impersonate any person or organisation, or run phishing, scams or malware distribution;
  • send messages about products or services that are prohibited or restricted by applicable law;
  • collect or process personal data of others without a lawful basis, including data exported from WhatsApp groups;
  • attempt to bypass billing, message limits, rate limits or authentication, or interfere with the Platform's security or other customers;
  • resell or sub-license access to the Platform without a written commercial agreement with us.

You must honour opt-out requests promptly and comply with all laws that apply to your messaging, as well as WhatsApp's own terms and policies.

5. WhatsApp numbers and restrictions

WhatsApp may, at its sole discretion, restrict, suspend or ban any number — for example if recipients block or report it. We do not control WhatsApp's decisions and are not responsible for any restriction or loss of a WhatsApp number or its data. You use automation on your numbers at your own risk. Following our messaging best practices reduces, but does not eliminate, this risk.

6. Plans and billing

  • Paid plans are prepaid for the period shown at purchase and are billed in Indian Rupees through our payment partner Razorpay. Applicable taxes are charged as required by law.
  • Plans do not renew automatically. Buying the same plan again extends your current period; buying a different plan replaces your current plan immediately.
  • Each plan includes the limits displayed at purchase, such as the number of WhatsApp numbers and daily messages. Messages that fail are not counted towards your daily limit.
  • Free trials are available once per user unless we state otherwise and may be changed or withdrawn at any time.
  • Refunds are governed by our Refund & Cancellation Policy.

7. Service availability

We aim for 99.5% monthly availability of the Platform, but cannot guarantee continuous availability of WhatsApp, WhatsApp Web, or other third-party services on which the Platform depends, which are outside our control. Features that depend on WhatsApp may change or stop working if WhatsApp changes its service.

8. Your content and data

You retain all rights to the messages, contacts and other content you submit ("Your Content"). You grant us a limited licence to process Your Content solely to provide the Platform to you. You are responsible for having the necessary rights and consents for Your Content. See our Privacy Policy for how we handle personal data.

9. Intellectual property

All trademarks, logos and software of the Platform are the property of NXTKRAFT SOLUTIONS (OPC) PRIVATE LIMITED or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Platform during the term of your account.

10. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Platform, other customers or recipients. Fees paid for a period during which your account was suspended or terminated for a breach are not refundable.

11. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Platform shall not exceed the amount paid by you to us in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, loss of profits, loss of data, or the restriction or loss of any WhatsApp number.

12. Indemnity

You agree to indemnify NXTKRAFT SOLUTIONS (OPC) PRIVATE LIMITED against any claim, damage or expense arising from your misuse of the Platform, the messages you send, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana.

14. Changes

We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, notify you by email or in-app banner. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
